STAKS Mobile Application by Panoramix LLC
Effective Date: January 1, 2025
Subject to your compliance with this License Agreement ("Agreement"), Panoramix LLC ("Licensor", "we", "us", or "our") grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the STAKS mobile application ("App" or "Software") on devices that you own or control, solely for your personal, non-commercial use.
Important: This is a license agreement, not a sale. You do not acquire any ownership rights to the Software. All rights not expressly granted to you are reserved by Panoramix LLC.

Violation of these restrictions may result in immediate termination of your license and legal action.
The Software, including all source code, object code, algorithms, user interface designs, architecture, class libraries, documentation, and all intellectual property rights therein, is and shall remain the exclusive property of Panoramix LLC and its licensors.
The following are protected by copyright, trademark, patent, and other intellectual property laws:
"STAKS" and the STAKS logo are trademarks of Panoramix LLC. You may not use these trademarks without our prior written consent. All other trademarks mentioned in the Software are the property of their respective owners.
You retain ownership of any content you create or upload through the Software. However, by using the Software, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content solely for the purpose of providing and improving our services.
The Software incorporates certain third-party software components and open-source libraries, which are subject to their own license terms. These include but are not limited to:

The Software integrates with the following third-party services:
Your use of these third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the availability, functionality, or policies of third-party services.
The Software may automatically download and install updates, upgrades, patches, and bug fixes ("Updates") to improve functionality, security, and performance. You consent to such automatic Updates as part of your use of the Software.
We reserve the right to modify, suspend, or discontinue any features or functionality of the Software at any time, with or without notice. This includes but is not limited to:
We may require you to update to the latest version of the Software to continue using certain features or services. Older versions may be discontinued or may not function properly.
Your use of the Software is subject to our Privacy Policy, which is incorporated into this Agreement by reference.

Important: STAKS is a non-custodial platform. We do NOT store, manage, or have access to your cryptocurrency private keys or funds. All assets are held by Broker Partners.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, QUIET ENJOYMENT, ACCURACY, OR INTEGRATION.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PANORAMIX LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

To the extent permitted by law, our total aggregate liability for any claims arising out of or relating to this Agreement or your use of the Software shall not exceed the greater of: (a) $100 USD, or (b) the amount you paid to us for use of the Software in the 12 months preceding the claim.

You acknowledge that these limitations of liability are an essential element of the agreement between you and Panoramix LLC, and that we would not provide the Software without these limitations.
You agree to indemnify, defend, and hold harmless Panoramix LLC, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, and suppliers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, losses, costs, expenses, fees (including reasonable attorneys' fees and court costs) arising out of or relating to:
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate with our defense of such claims and not to settle any such claim without our prior written consent.
You may terminate this license at any time by:
We reserve the right to suspend or terminate your license and access to the Software immediately, with or without notice, for any reason, including but not limited to:

Termination of this license does not entitle you to any refund of fees paid, except as required by applicable law or as expressly stated in our refund policy.
The Software and related technology may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR) maintained by the U.S. Department of Commerce.
You represent and warrant that:
The Software may not be downloaded, exported, or re-exported to or used by persons or entities in countries or regions subject to U.S. economic sanctions or trade embargoes, including but not limited to:
This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law principles.
Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the federal or state courts located in Los Angeles County, California. You hereby consent to the personal jurisdiction and venue of such courts.
Before filing any legal action, you agree to first attempt to resolve any dispute informally by contacting us at privacy@staks.in. We will attempt to resolve the dispute informally within 60 days.
If informal resolution is unsuccessful, any disputes arising out of or relating to this Agreement shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA), except where prohibited by law. The arbitration shall be conducted in Los Angeles, California, and judgment on the arbitration award may be entered in any court having jurisdiction.
YOU AGREE THAT ANY ARBITRATION OR LEGAL PROCEEDING SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
This Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Panoramix LLC regarding the Software and supersedes all prior or contemporaneous understandings and agreements, whether written or oral.
We reserve the right to modify this Agreement at any time. We will notify you of material changes through the Software, via email, or by posting a notice on our website. Your continued use of the Software after such notification constitutes acceptance of the modified Agreement. If you do not agree to the modifications, you must stop using the Software and uninstall it.
If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from this Agreement. The remaining provisions shall continue in full force and effect.
No waiver of any term or condition of this Agreement shall be deemed a further or continuing waiver of such term or condition or any other term or condition. Our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
You may not assign, transfer, or delegate this Agreement or your rights and obligations hereunder without our prior written consent. We may assign this Agreement without restriction. Any attempted assignment in violation of this section shall be null and void.
We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.
This Agreement does not create any agency, partnership, joint venture, employment, or franchisee relationship between you and Panoramix LLC. You have no authority to bind us or make any commitments on our behalf.
All notices under this Agreement shall be in writing and shall be deemed given when delivered personally, sent by confirmed email, or three days after being sent by certified mail, return receipt requested, to the addresses specified in this Agreement.

This is a license to use STAKS, not a sale. You can use the app for personal cryptocurrency trading, but you can't modify, reverse engineer, or redistribute it. We own all intellectual property rights. The software is provided "as is" without warranties. We're not liable for trading losses or technical issues.
